These Terms of Service (“Terms”) govern your use of the Ovura mobile application and website (together, the “Service”) provided by Ovura (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility and Acceptance of Terms

By downloading, accessing, or using Ovura, you confirm that:

  • You are at least 18 years old (or the age of majority in your jurisdiction); and
  • You have the legal capacity to enter into a binding agreement; and
  • You have read, understood, and agree to these Terms and our Privacy Policy.

If you do not meet these conditions, you must not use the Service.

2. Account Creation and Security

Some features of Ovura may require you to create an account or sign in using a third‑party identity provider.

  • You agree to provide accurate, current, and complete information.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You agree to notify us promptly of any unauthorized use of your account or any other security breach.
  • We reserve the right to suspend or terminate your account if we suspect any violation of these Terms or fraudulent activity.

3. Health and Medical Disclaimer

  • Ovura is not a medical device and does not provide medical advice, diagnosis, or treatment.
  • All information, recommendations, scores, and insights provided by the app (including AI‑generated content) are for general informational and educational purposes only.
  • Ovura does not replace a consultation with a qualified healthcare professional.
  • Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition, diagnosis, or treatment.
  • Never disregard professional medical advice or delay seeking it because of something you have read in the app.
  • By using Ovura, you agree that any reliance on information provided by the Service is at your own risk.

4. AI‑Powered Features

Ovura includes optional AI‑powered features that can analyze your inputs (such as meal photos, health logs, and onboarding information) to generate insights and recommendations.

  • AI features are optional and require your prior consent for data sharing, as described in our Privacy Policy.
  • AI outputs may be inaccurate, incomplete, or not applicable to your specific situation and should not be treated as medical advice.
  • You remain solely responsible for how you use any AI‑generated information, including any health or lifestyle decisions based on it.
  • We may modify, suspend, or discontinue AI features at any time without prior notice.

5. Subscriptions, In‑App Purchases, and Free Trials

Ovura may offer paid features or subscriptions (“Ovura Pro”) through in‑app purchases.

Billing through app stores:

  • Purchases and subscriptions are processed by the Apple App Store (and/or other platform providers) and are subject to their respective terms and conditions.
  • We do not directly handle or store your payment card details.

Subscription terms:

  • Subscriptions are billed on a recurring basis (e.g., weekly, monthly, yearly) as shown in the app at the time of purchase.
  • Unless you cancel at least 24 hours before the end of the current billing period, your subscription will automatically renew, and your account will be charged for the next period.

Free trials (if offered):

  • If a free trial is available, it will be clearly indicated in the app (e.g., “3‑day free trial”).
  • At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

Managing and cancelling subscriptions:

  • You can manage or cancel your subscription at any time in your App Store account settings on your device.
  • Deleting the app from your device does not cancel your subscription automatically.

Refunds:

  • Refunds for in‑app purchases are handled by the relevant app store provider and are subject to their policies.
  • We cannot directly issue refunds for purchases made through the Apple App Store.

6. Usage Rights and Restrictions

We grant you a limited, non‑exclusive, non‑transferable, revocable license to use the Service for your personal, non‑commercial use, subject to these Terms.

You agree not to:

  • Reverse engineer, decompile, or attempt to derive the source code of the app.
  • Copy, modify, or create derivative works based on the Service.
  • Use the Service for any illegal, harmful, or abusive purpose.
  • Attempt to gain unauthorized access to our systems or other users’ data.

We may suspend or terminate your access to the Service if we believe you have violated these Terms.

7. Intellectual Property

All content, features, and functionality of Ovura—including but not limited to text, graphics, images, user interface, logos, and design—are owned by Ovura or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You may not use our trademarks, branding, or logos without our prior written permission.

8. Third‑Party Services and Links

The Service may contain links to third‑party websites or may integrate with third‑party services (such as analytics, AI providers, or payment processors).

  • We do not control and are not responsible for third‑party websites or services.
  • Your use of third‑party services is subject to their own terms and privacy policies.
  • We encourage you to review the terms and privacy policies of any third‑party services you use.

9. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
  • Any warranty that the Service will be uninterrupted, error‑free, secure, or free from viruses or other harmful components.
  • Any warranty regarding the accuracy, completeness, or usefulness of information (including AI‑generated content).

10. Limitation of Liability

To the maximum extent permitted by law:

  • Ovura and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Service.
  • Our total liability for any claims arising out of or related to the Service or these Terms will not exceed the amount you have paid to us (if any) for use of the Service during the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Changes to the Service and Terms

We may update or modify the Service (including adding, changing, or removing features) at any time.

We may also update these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. Significant changes may be communicated in‑app.

By continuing to use the Service after changes become effective, you agree to the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the courts of your jurisdiction, unless otherwise required by applicable consumer protection laws.
